Company and period
Year of assessment is labelled by the period-end year. Periods beginning before 1 July 2026 are taxed under Cap 52:01, later ones under the 2026 Act (reg. 51(10)).
Accounting profit
Deductions not allowable s.38 · old s.50
Amounts expensed in the income statement that the Act disallows. Each is added back. Old s.50 (Cap 52:01) covered (a) domestic or private expenses, (b) amounts not wholly, exclusively and necessarily laid out to produce assessable income, (c) capital withdrawn or capital expenditure, (d) and (e) Botswana or foreign income tax, and (f) non-approved funds. Items (g) to (j), 38(2) and 38(3) are new in the 2026 Act.
38(3) amounts become deductible in the year the withheld tax is paid.
Entertainment & donations s.35 · s.34
50% of ordinary entertainment is allowed. Staff benefits and core-business customer entertainment stay 100% deductible.
Qualifying: non-profit organisations, Government health facilities, approved health institutions, prescribed beneficiaries, emergency appeals. Allowed only if total donations reach P1,000, and capped at 20% of taxable income before the donation.
Interest limitation s.36 · s.90
Deductible interest is capped at interest income plus 30% of tax EBITDA. Excess carries forward up to 5 years.
Tax allowances & special deductions s.31 · s.39–42
Already expensed at 100%, so a further 100% is deducted. Not available where training costs are reimbursable.
Income classes & exempt income s.24 · s.26
Includes dividends and interest that already suffered final withholding tax.
Taxable rent, interest and other passive income not already in exempt income. Investment and business income are separate classes: a business loss cannot reduce investment income, and excess investment deductions are lost.
Assessed business losses b/f s.37 · s.70 · old s.46
Year of assessmentLoss incurred (P)
Enter unused balances still carried forward. Each loss is usable for 5 years after the year it arose, oldest first. Temporary discontinuance does not stop the clock.
BURS must be notified within 14 days of the ownership change (s.70(2)).
Self-assessment tax (SAT) instalments s.127
Enter each quarter's estimate of full-year taxable income. Under equal instalments only the Q1 estimate counts. Leave "Paid" blank if you paid exactly what was required.

Deferred tax & tax reconciliation IAS 12
Year-end balances from the statement of financial position. Losses and disallowed interest carried forward come from the computation.
Enter a liability in brackets or with a minus sign. The opening balance is remeasured to the new rate, and the effect is shown separately.

Roll forward saves this year, then starts the next one. Unused losses (with their original years, so the 5-year limit keeps running), disallowed interest and closing deferred tax carry across; current-year figures reset to zero.

Rates. Companies under the Income Tax Act 2026: 24.5% (resident and non-resident), IFSC 15% on approved operations and 24.5% on other income, mutual associations 5%. Under Cap 52:01: resident 22%, non-resident 30%. Which Act applies depends on when the accounting period began: before 1 July 2026, Cap 52:01 and its rate; on or after, the 2026 Act (Income Tax Regulations 2026, reg. 51(10); ITA s.45(7), s.144(a)). An accounting year of 1 March 2026 – 28 February 2027 is therefore taxed under Cap 52:01, with no split by days. Individuals: tax-free to P48,000 (residents), then 5%, 12.5%, 18.75%, 25%, and 27.5% above P400,000.

SAT. Where tax exceeds P50,000, estimated tax is paid in four instalments due 3, 6, 9 and 12 months after the start of the accounting year. The final balance and return are due 4 months after year-end. Under the Tax Administration Act 2026 s.106, if actual tax exceeds instalments paid by more than 25% of actual tax, a penalty of 10% of the shortfall × 120% applies. That is our reading of wording that could also mean 10% of (actual tax − 120% of instalments), so confirm with BURS. Late payment interest is 1.5% a month or part (Reg. 21). Regulation 33 waives late payment penalties for 12 months from 1 July 2026.

Section references follow the Income Tax Bill No. 36 of 2025, enacted as the Income Tax Act, 2026. Confirm numbering against the gazetted Act. "Old s." refers to the repealed Income Tax Act (Cap 52:01), which still applies to periods before 1 July 2026: s.50 deductions not allowable, s.46 assessed losses, s.44 training.

Limits. Planning estimate, not a filed return. Applying losses before donations, and treating interest expense as business expenditure are assumptions. Not modelled: mining ring-fencing (s.84), farming (s.75–79), s.53 small business regime, the detailed s.70 ownership test, development approval orders (s.94) and the domestic minimum top-up tax.

IAS 12. Deferred tax uses the balance-sheet approach at the rate expected on reversal (24.5%). The opening balance is remeasured from the rate it was booked at, and the effect is shown in the reconciliation. A balancing line appears only when the inputs don't tie, which usually points to an opening balance to check.

Withholding. Domestic rates per Schedule 1 of the 2026 Act. Treaty rates follow the company's rate schedule (botswana_wht_treaty_rates.xlsx, 24 countries). Only the 19 treaties on BURS's Bilateral Agreements page are applied; Belgium, Kenya, Malawi, Malta and Mozambique get the domestic rate until BURS confirms they are in force. Where the schedule differs from the treaty text downloaded from BURS (14 October 2026), the rate table shows the text rate beside it and each register row is flagged. France, Mauritius, Namibia, Russia, Seychelles, Sweden and Zambia cover technical fees only for services performed outside Botswana. Barbados (technical fees) and Sweden (dividends, interest, royalties) have most-favoured-nation clauses. In the Botswana–France DTA, for example, caps management and consultancy fees at 7.5% against the domestic 15%. A treaty rate needs the vendor's certificate of tax residence. Thresholds (s.131–133) are flagged, not applied automatically.
